Scope & Applicability

This Code applies to everyone at StenTam, without regard to geographic location, and includes any subsidiaries or controlled affiliates. We also expect third parties who act on our behalf—such as vendors, contractors, agents, and consultants—to comply with our ethical expectations.

Governance: The Chief Legal Officer is the responsible officer for this Code. Any waiver or exception must be requested in writing and approved by the Chief Legal Officer.

Always Act With Integrity

Compliance with applicable laws and this Code must guide our actions. Failure to comply may result in disciplinary action, up to and including termination.

Decision Checklist

Faced with a difficult decision? Ask yourself:

  • Is the action legal and consistent with this Code and StenTam policies?
  • Am I putting myself, others, or StenTam’s reputation at risk?
  • Would I be comfortable if this decision were reported in the media?
  • Could this decision create a perceived conflict of interest?
  • Am I acting transparently and truthfully?

Individual Responsibility

We are all responsible for protecting StenTam’s reputation. Compliance with this Code is an element of performance evaluation, eligibility for incentives, and professional advancement.

Expectations

  • Learn, understand, and comply with the Code and relevant laws.
  • Always do the right thing—no exceptions.
  • Lead by example and actively support a culture of compliance.
  • Speak up promptly about suspected violations.

If you see, hear, or learn of any actual or suspected violation, we want, encourage, and expect you to report it.

Retaliation is Prohibited

StenTam has zero tolerance for retaliation. No one should be forced to choose between doing the right thing and their job. We will not retaliate against anyone who reports a concern in good faith.

Conflicts of Interest

A conflict exists when personal interests interfere with your ability to act in StenTam’s best interest. You must avoid undisclosed conflicts and promptly disclose potential conflicts.

Gifts, Entertainment, and Hospitality

StenTam competes on merit. Never offer or accept gifts that could create a perception of improper influence. Never give anything of value to government officials.

Anti-Corruption and Anti-Bribery

We do not tolerate bribery in any form. You must never offer, give, solicit, or facilitate any bribe or improper payment.

Safeguarding Company Property

Protect StenTam’s assets, including physical property, funds, and intellectual property. Do not use Company property for personal gain.

Communications & Social Media

Only authorized individuals may speak on behalf of StenTam. Be responsible on social media; do not post confidential information.

Protecting Privacy and Data

We are committed to protecting personal data. Only collect, use, and disclose data for legitimate business purposes.

Accurate Books & Records

Never create misleading records. Accurate record-keeping is fundamental to legal compliance and transparent business conduct.

Anti-Money Laundering (AML)

We will not knowingly engage in or facilitate money laundering. Watch for red flags like payments from unknown third parties.

Investigations & Cooperation

StenTam investigates concerns promptly and fairly. You are expected to cooperate truthfully in internal investigations and audits. Retaliation or obstruction is prohibited.
